These Terms & Conditions (“Terms”) govern your access to and use of the Site and any online services, registrations, applications, purchases, information, or other features made available through the Site by Woodz Elite, Woodz Academy, and affiliated Woodz programs (collectively, “Woodz,” “we,” “us,” or “our”).

By accessing or using the Site, submitting an application or registration, making a purchase, or otherwise using services offered through the Site, you agree to these Terms.

If you do not agree to these Terms, do not use the Site.

1. ELIGIBILITY AND PARENT/GUARDIAN AUTHORITY

The Site is intended primarily for adults, including parents, legal guardians, coaches, and other individuals seeking information about Woodz programs.

If you submit information, register, make a payment, or enter into an agreement on behalf of a minor participant, you represent that you are the minor’s parent or legal guardian, or otherwise have lawful authority to act on the minor’s behalf.

Individuals under the age of 13 should not submit personal information directly through the Site. A parent or legal guardian should complete registrations, applications, inquiries, and other submissions on behalf of a child.

2. WOODZ PROGRAMS

Woodz may provide basketball-related programs and opportunities including, without limitation:

• Woodz Elite teams;

• Woodz Academy;

• tryouts and player evaluations;

• Selection events;

• practices and training;

• camps and clinics;

• leagues, games, tournaments, and showcases;

• player-development programming;

• educational programming;

• recruiting-related education or guidance;

• community programs; and

• other basketball-related activities and services.

Program offerings, eligibility requirements, schedules, locations, coaching assignments, team structures, fees, and availability may vary.

Woodz may make reasonable modifications to programs, schedules, locations, personnel, or other operational details when circumstances require.

3. APPLICATIONS, INVITATIONS, TRYOUTS, AND PLAYER SELECTION

Submitting a form, requesting an invitation, attending an evaluation, registering for a tryout, participating in Selection Sunday, or otherwise expressing interest in Woodz does not guarantee acceptance, placement, invitation, roster selection, or participation in any Woodz team or program.

Woodz retains discretion over player evaluation, invitations, roster construction, team placement, program placement, and participation decisions.

Selection decisions may consider factors including basketball ability, developmental needs, positional needs, age or graduation class, roster composition, competitiveness, attitude, effort, coachability, attendance, behavior, fit, and other program considerations.

Participation in a prior Woodz, Iso, Academy, training, camp, clinic, or affiliated program does not guarantee future placement.

4. NO GUARANTEE OF PLAYING TIME OR ATHLETIC OUTCOMES

Participation in a Woodz program does not guarantee:

• a particular amount of playing time;

• a starting position;

• a particular role;

• placement on a specific team;

• participation in a specific tournament or event;

• advancement to another Woodz team or program;

• college recruitment;

• scholarship offers;

• college admission;

• professional basketball opportunities;

• statistical performance; or

• any particular athletic, developmental, recruiting, or competitive result.

Woodz may provide development, coaching, education, exposure opportunities, recruiting guidance, or access to basketball networks, but individual outcomes depend on many factors outside Woodz's control.

5. REGISTRATION AND INFORMATION ACCURACY

You agree to provide accurate, current, and complete information when submitting applications, registrations, purchases, or other information through the Site.

You are responsible for updating information when necessary and for ensuring that Woodz is informed of information reasonably relevant to participation, including appropriate emergency contact or participant information when requested.

Woodz may reject, suspend, or cancel a registration or application if materially false, misleading, incomplete, or fraudulent information is submitted.

6. FEES, PAYMENTS, AND PURCHASES

Certain Woodz programs, events, products, or services may require payment.

Prices and payment terms applicable to a particular offering will be disclosed at registration, enrollment, checkout, or in the applicable program materials.

By providing a payment method, you represent that you are authorized to use that payment method and authorize the applicable charges.

Programs involving recurring payments or subscriptions may be subject to additional recurring-payment terms disclosed at enrollment.

Any applicable cancellation, credit, transfer, or refund policy presented during registration or purchase is incorporated into these Terms.

Unless expressly stated otherwise, submitting payment does not override eligibility, participation, behavioral, roster, or program requirements.

7. ADDITIONAL PARTICIPATION AGREEMENTS

Participation in Woodz athletic activities may require execution of additional agreements, including a:

• waiver and release of liability;

• assumption-of-risk agreement;

• participant agreement;

• medical or emergency authorization;

• code of conduct;

• payment agreement;

• media release; or

• other program-specific agreement.

Those agreements are separate from these Website Terms.

If there is a conflict between these Terms and a more specific written agreement governing a particular program, transaction, or activity, the more specific agreement will control with respect to that subject.

8. ATHLETIC RISK

Basketball and athletic activities involve inherent risks of injury.

Information appearing on this Site is not intended to eliminate, reduce, or modify risks associated with athletic participation.

Before participating in Woodz Activities, participants and their parents or legal guardians may be required to separately acknowledge applicable risks and execute Woodz's participant waiver and release.

Nothing in these Website Terms replaces that agreement.

9. HEALTH AND MEDICAL INFORMATION

Nothing on the Site constitutes medical advice, diagnosis, or treatment.

Participants and families are responsible for determining whether participation in basketball, training, conditioning, or other athletic activities is appropriate for the participant.

Questions concerning injury, health conditions, physical readiness, rehabilitation, or medical restrictions should be directed to an appropriately qualified healthcare professional.

10. RECRUITING INFORMATION

Woodz may provide recruiting education, guidance, feedback, communication assistance, exposure opportunities, or information concerning college basketball.

Such services do not constitute a promise or guarantee of recruitment, scholarship, roster placement, admission, or communication from any college, university, coach, scout, agent, or basketball organization.

Recruiting decisions are made independently by third parties outside Woodz's control.

11. INTELLECTUAL PROPERTY

Unless otherwise stated, the Site and its contents are owned by or licensed to Woodz and are protected by applicable intellectual-property laws.

This includes, without limitation:

• Woodz names and logos;

• trademarks and branding;

• photographs and graphics;

• videos;

• written copy;

• training concepts and educational materials;

• curriculum;

• program frameworks;

• diagrams;

• designs;

• slogans;

• website design elements; and

• other original content.

You may view Site content for your personal, noncommercial use.

You may not reproduce, copy, distribute, modify, republish, sell, license, commercially exploit, or create derivative works from Woodz content without prior written permission, except as permitted by applicable law.

Nothing contained on the Site grants ownership or a license to use Woodz trademarks, logos, program names, curriculum, or proprietary materials.

12. USER SUBMISSIONS

If you voluntarily submit information, photographs, videos, testimonials, comments, questions, messages, or other content to Woodz, you represent that you have the right to submit that material.

Submitting content does not automatically grant Woodz unlimited publicity rights in a participant's name, image, or likeness.

Any broader permission for Woodz to publicly use a participant's image, likeness, photograph, or video may be governed by a separate media release or other written authorization.

13. ACCEPTABLE USE

You agree not to use the Site to:

• violate applicable law;

• impersonate another person;

• provide intentionally false or fraudulent information;

• interfere with Site security or operation;

• attempt unauthorized access to accounts, systems, or data;

• introduce viruses, malicious code, or harmful technology;

• scrape or systematically extract Site content without authorization;

• misuse Woodz intellectual property;

• harass Woodz personnel or other users through the Site; or

• use the Site for an unlawful or unauthorized commercial purpose.

Woodz may restrict or terminate access for misuse of the Site.

14. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to or integrations with third-party websites, payment processors, scheduling systems, social-media platforms, registration providers, apparel vendors, facilities, basketball organizations, or other services.

Those third parties operate independently from Woodz and may maintain their own terms, privacy policies, and practices.

Woodz is not responsible for the availability, security, content, policies, or conduct of third-party websites or services except to the extent otherwise required by law.

15. WEBSITE AVAILABILITY AND ACCURACY

Woodz works to provide accurate and useful information but does not guarantee that every item on the Site will always be complete, current, error-free, or continuously available.

Schedules, rosters, events, pricing, locations, eligibility requirements, staff assignments, and program details may change.

If information presented on the Site conflicts with a direct written communication from Woodz concerning a specific registration, team, event, or program, contact Woodz for clarification.

16. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WOODZ MAKES NO WARRANTY THAT THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

WOODZ DISCLAIMS WARRANTIES THAT MAY OTHERWISE ARISE REGARDING THE SITE EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WOODZ AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, COACHES, CONTRACTORS, REPRESENTATIVES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING SOLELY FROM ACCESS TO OR USE OF THE SITE.

THIS SECTION IS INTENDED TO ADDRESS USE OF THE WEBSITE AND ONLINE SERVICES.

LIABILITY ASSOCIATED WITH PARTICIPATION IN ATHLETIC ACTIVITIES IS ADDRESSED SEPARATELY IN THE APPLICABLE PARTICIPANT WAIVER AND RELEASE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.

18. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Woodz and its owners, officers, employees, representatives, and affiliates from third-party claims, losses, liabilities, or expenses resulting from your unlawful misuse of the Site, violation of these Terms, infringement of another person's rights, or submission of information or content that you did not have authority to provide.

19. PRIVACY

Your use of the Site is also subject to the Woodz Privacy Policy.

The Privacy Policy describes how Woodz may collect, use, disclose, and protect information obtained through the Site.

20. ELECTRONIC COMMUNICATIONS

By submitting forms or conducting transactions electronically, you consent to receive communications relating to those submissions or transactions electronically, including by email, text message when authorized, or through online registration systems.

You are responsible for providing accurate contact information.

Marketing communications will be handled in accordance with applicable law and any available opt-out rights.

21. SUSPENSION OR TERMINATION

Woodz may suspend, restrict, or terminate access to the Site when reasonably necessary to protect the Site, Woodz, its participants, or other users, or in response to a violation of these Terms.

Termination of website access does not alter obligations arising under a separate program, registration, payment, participant, or other agreement unless Woodz states otherwise in writing.

22. CHANGES TO THESE TERMS

Woodz may update these Terms from time to time.

When changes are made, the updated Terms will be posted on the Site with a revised “Last Updated” date.

Changes will apply prospectively from their effective date unless applicable law permits otherwise.

Continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

23. GOVERNING LAW

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law principles.

To the extent permitted by law, any legal action arising specifically from these Terms or use of the Site will be brought in an appropriate state or federal court located in Arkansas.

Nothing in this provision prevents either party from exercising rights that cannot lawfully be waived or restricted.

24. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will continue in effect.

25. NO WAIVER

Woodz's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

26. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any additional terms or agreements applicable to a specific transaction or service, constitute the agreement governing use of the Site.

Separate agreements governing athletic participation, payment obligations, media rights, team participation, or other Woodz programs remain independently enforceable according to their terms.
